Terms of Service

Effective Date: July 9 2026

1. Acceptance of These Terms

These Terms of Service (the "Terms") govern access to and use of Spendric, a subscription software-as-a-service product operated by Next 11 Holdings LLC d/b/a Spendric ("Spendric," "we," "us," or "our"). By creating an account, starting a trial, subscribing, accessing the website, uploading data, or using any Spendric feature, you agree to these Terms.

If you use Spendric on behalf of a company, organization, agency, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "your" refer to both you and that entity.

If you do not agree to these Terms, do not create an account, upload data, start a trial, subscribe, or use Spendric.

2. Business Use and Eligibility

Spendric is intended for business and professional use by advertisers, ecommerce businesses, marketing teams, agencies, and similar users. Spendric is not intended for personal, household, or consumer use.

You must be at least 18 years old to use Spendric. By using Spendric, you represent that you are at least 18 and have the legal capacity to enter into these Terms.

You are responsible for ensuring that your use of Spendric complies with laws, advertising platform rules, contractual obligations, and internal policies that apply to you.

3. The Spendric Service

Spendric analyzes advertising data that users upload from Meta Ads Manager and generates audit findings, flags, computed dollar amounts, and plain-English recommendations based on historical performance data and user-stated economics such as target cost per acquisition, average order value, and campaign objective.

Spendric also includes an AI-powered advisor that can answer questions about audit outputs and ad performance. The AI advisor is designed to be scoped to advertising and marketing questions related to the user account and audit results.

Spendric is an analysis and decision-support tool. It does not operate your advertising accounts, guarantee financial results, guarantee savings, guarantee return on ad spend, or replace professional marketing, financial, legal, tax, accounting, or business advice.

4. Accounts and Login Credentials

You may need to create an account using an email address and password or by using Google login or another supported identity provider. You agree to provide accurate account information and keep it current.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify Spendric if you believe your account has been compromised.

Passwords are stored in hashed form. Spendric does not ask for or store your Meta Ads Manager password or direct Meta advertising account login credentials for the current CSV-upload version of the product.

5. Free Trial, Subscription Plans, and Auto-Renewal

Spendric currently offers a 21-day free trial. After the free trial ends, the subscription automatically converts to a paid plan unless you cancel before the trial expires.

Current launch pricing is $49 per month or $490 per year, unless a different price, promotion, coupon, or plan is presented to you at checkout or in your account. Prices are shown before you subscribe.

Paid subscriptions automatically renew at the end of each billing period unless canceled before the next billing date. By subscribing, you authorize Spendric and its payment processor to charge your payment method on a recurring basis for applicable subscription fees, taxes, and permitted charges.

6. Billing, Payment Processing, Taxes, and Failed Payments

Spendric uses Stripe as its payment processor. Spendric does not store full credit card numbers. Stripe may store payment credentials, process payments, and provide Spendric with customer, subscription, invoice, payment status, and limited payment metadata.

You are responsible for keeping your payment information current. If a payment fails, Spendric may retry the charge, notify you, restrict access, suspend the account, or cancel the subscription.

Fees are exclusive of taxes unless stated otherwise. You are responsible for any taxes, duties, levies, or similar assessments associated with your subscription, except taxes based on Spendric income.

7. Cancellation and No Refund Policy

You may cancel your subscription at any time. Cancellation prevents renewal at the next billing date. Unless otherwise stated, you will continue to have access to paid features through the end of the then-current paid billing period.

Spendric does not provide refunds or prorated credits for partial months, partial years, unused time, downgrade requests, failure to use the service, or cancellation during a paid billing period, except where required by law or expressly agreed by Spendric in writing.

Spendric may offer a discount, retention offer, or alternative plan when you attempt to cancel. Accepting such an offer may modify pricing or billing terms as disclosed at the time.

8. Customer Data Ownership and License to Process

As between you and Spendric, you retain ownership of advertising CSV uploads, account information, user-stated economics, website URLs you provide, AI advisor prompts, AI advisor conversation history, and other content or data you provide to Spendric (collectively, "Customer Data").

You grant Spendric a limited, non-exclusive, worldwide license to host, store, process, transmit, display, analyze, transform, and use Customer Data as necessary to provide, maintain, secure, troubleshoot, support, and improve Spendric; generate audit outputs; provide the AI advisor; process subscriptions; communicate with you; enforce these Terms; and comply with law.

After account deletion, Spendric may retain aggregated, anonymized, and non-identifiable statistical information derived from Customer Data for analytics, benchmarking, product improvement, research, and business purposes, provided such information cannot reasonably be used to identify you, your account, or any individual.

9. Your Responsibility for Uploaded Data

You may upload only data that you own, control, or have the legal right to upload and process through Spendric. You are responsible for the accuracy, lawfulness, completeness, and quality of Customer Data.

You are responsible for ensuring that your Meta Ads exports, campaign names, ad-set names, URLs, and other uploaded materials do not violate third-party rights, privacy laws, confidentiality obligations, Meta terms, or other applicable requirements.

Spendric does not independently verify that uploaded data is accurate, lawful, complete, or suitable for your intended use.

10. AI Advisor

The AI advisor may use derived audit outputs, computed findings, selected account context, your questions, conversation history, optional product URLs you provide per question, and live web search or fetch results to generate responses.

For the current product design, raw uploaded Meta CSV files are not sent to the AI advisor. The AI advisor is intended to receive derived audit information and the user question, not the raw CSV upload.

AI outputs may be inaccurate, incomplete, outdated, or unsuitable for your circumstances. You are responsible for reviewing all AI outputs before relying on them, implementing advertising changes, spending money, modifying campaigns, or taking business action.

11. No Professional Advice and No Guaranteed Results

Spendric provides analysis and informational guidance based primarily on historical data you provide. Spendric does not provide legal, tax, accounting, investment, financial, professional marketing-agency, or regulated advisory services.

Spendric does not promise that you will reduce ad spend, increase revenue, improve return on ad spend, improve conversion rates, achieve a target cost per acquisition, or obtain any specific business outcome. Any figures shown by Spendric reflect analysis of historical data or user-provided assumptions, not guaranteed future performance.

You remain solely responsible for campaign decisions, budgets, bidding, creative, targeting, compliance, and results.

12. Acceptable Use

You agree not to misuse Spendric. Prohibited conduct includes attempting to gain unauthorized access; interfering with security or service operation; uploading unlawful, infringing, malicious, or unauthorized data; using Spendric to develop a competing service through improper means; scraping or reverse engineering except where allowed by law; sharing login credentials outside your organization; or using the AI advisor to generate unlawful, deceptive, discriminatory, or harmful advertising or content.

You may not use Spendric in violation of export control, sanctions, anti-bribery, anti-corruption, privacy, advertising, consumer protection, intellectual property, or platform-specific rules.

Spendric may suspend or terminate access if we reasonably believe your use violates these Terms, creates risk, harms the service, violates law, or could expose Spendric or other users to liability.

13. Beta, Experimental, and Preview Features

Spendric may release beta, preview, experimental, or early-access features. These features may be incomplete, unstable, changed, limited, suspended, or discontinued at any time.

Beta features are provided as-is and may be subject to additional terms or limitations. You should not rely on beta features for mission-critical decisions or legally required processes.

14. Product Changes, Availability, and Support

Spendric may modify, improve, add, or remove features at any time. We will try to avoid material disruption, but we do not guarantee that any particular feature, integration, analysis method, report, or workflow will remain available forever.

Spendric may occasionally be unavailable because of maintenance, upgrades, outages, bugs, security incidents, third-party service failures, infrastructure problems, or events outside our control.

Support is provided through the contact methods Spendric makes available. We do not guarantee any specific response time unless separately agreed in writing.

15. Third-Party Services

Spendric relies on third-party providers, including Stripe, Anthropic, Supabase, Vercel, Google, email providers, and web search or fetch providers. Third-party services may be subject to their own terms, privacy policies, limits, outages, and data practices.

Spendric is not responsible for third-party service failures, changes, suspensions, policies, or data handling except to the extent required by applicable law or a separate written agreement.

Your use of Google login, Stripe checkout, Meta Ads Manager exports, or other third-party services may be governed by those providers terms.

16. Intellectual Property

Spendric and its licensors own the Spendric platform, website, software, design, workflows, analysis logic, names, logos, trademarks, documentation, and other service materials, excluding Customer Data.

These Terms do not transfer any Spendric intellectual property to you. You receive only the limited right to access and use Spendric during an active trial or subscription in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from Spendric except as expressly allowed by Spendric in writing or by applicable law.

17. Feedback

If you provide ideas, suggestions, requests, bug reports, comments, feature recommendations, or other feedback, you grant Spendric a perpetual, irrevocable, worldwide, royalty-free right to use, copy, modify, publish, distribute, and commercialize that feedback without restriction or compensation.

Feedback does not include your Customer Data unless you intentionally include Customer Data in the feedback.

18. Copyright and DMCA

If you believe content available through Spendric infringes your copyright, you may send a notice to the contact email listed below with sufficient information for us to investigate. Spendric may remove or disable access to allegedly infringing material and may terminate repeat infringers when appropriate.

Because Spendric is primarily a private SaaS tool and does not generally publish user-uploaded content publicly, copyright issues may be uncommon, but this procedure is included for completeness.

19. Confidentiality

Customer Data may include confidential business information. Spendric will use Customer Data only as described in these Terms and the Privacy Policy, and will use commercially reasonable efforts to protect it.

You are responsible for deciding what information to upload or enter into Spendric and for ensuring that your personnel, contractors, and representatives protect your account and data appropriately.

20. Data Retention, Deletion, and Export

You may export available audit information from Spendric using the export functionality we make available. Spendric is not required to provide exports in every format or to preserve data indefinitely after account deletion.

When an account is deleted, Spendric will disable login access promptly, retain backups for up to 30 days, and then permanently delete or de-identify account data according to its normal backup and deletion processes, unless longer retention is required by law, dispute, security, fraud-prevention, accounting, tax, or legitimate business obligations.

After deletion, Spendric may retain aggregated, anonymized, non-identifiable statistics as described in these Terms and the Privacy Policy.

21. Suspension and Termination

Spendric may suspend or terminate your access if you violate these Terms, fail to pay, create security or legal risk, misuse the service, or if we are required to do so by law or a third-party provider.

You may stop using Spendric at any time. Cancellation of a subscription is handled under the cancellation terms above. Deleting an account is separate from cancellation and may result in loss of data.

Sections that by their nature should survive termination will survive, including payment obligations, ownership, data rights necessary for deletion and backup processing, confidentiality, disclaimers, limitations of liability, indemnity, governing law, dispute provisions, and miscellaneous terms.

22. Disclaimer of Warranties

Spendric is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Spendric disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and uninterrupted or error-free operation.

Spendric does not warrant that the service, audit findings, AI outputs, calculations, recommendations, integrations, or third-party services will be accurate, complete, secure, timely, uninterrupted, or fit for your business needs.

23. Limitation of Liability

To the maximum extent permitted by law, Spendric and its owners, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost revenue, lost data, loss of goodwill, business interruption, advertising losses, wasted ad spend, campaign performance, or cost of substitute services.

To the maximum extent permitted by law, Spendric total liability for any claim arising out of or relating to the service or these Terms will not exceed the amount you paid to Spendric in the three months before the event giving rise to the claim, or $100 if you have not paid Spendric.

Some jurisdictions do not allow certain limitations. In those jurisdictions, the limitations apply to the fullest extent permitted by law.

24. Indemnification

You agree to defend, indemnify, and hold harmless Spendric and its owners, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorney fees, arising from or related to your Customer Data, your use of Spendric, your advertising decisions, your violation of these Terms, your violation of law or third-party rights, or your misuse of the service.

Spendric may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with the defense.

25. Export Controls and Sanctions

You may not use Spendric if you are located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, or if you are on any restricted party list. You may not use Spendric in violation of U.S. export control or sanctions laws.

26. Governing Law and Venue

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles. The state and federal courts located in Utah County, Utah, or the federal district courts serving that county, will have exclusive jurisdiction and venue for disputes arising from or relating to these Terms or Spendric, and you consent to those courts.

Before filing a claim, each party agrees to try in good faith to resolve the dispute informally by written notice and a reasonable opportunity to cure or discuss the issue. This does not prevent either party from seeking urgent injunctive relief.

27. Changes to These Terms

Spendric may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, sending email, showing in-app notice, or another reasonable method. The updated Terms are effective on the date stated in the updated document or notice.

Your continued use of Spendric after updated Terms become effective means you accept the updated Terms. If you do not agree, you must stop using Spendric and cancel your subscription before the next billing date.

28. Electronic Communications

You consent to receive electronic communications from Spendric, including account notices, billing notices, trial notices, legal notices, security alerts, product updates, and service messages. Electronic communications satisfy any legal requirement that communications be in writing.

You may unsubscribe from marketing emails where an unsubscribe option is provided, but transactional and service-related messages may still be sent.
